This End User License Agreement (the "Agreement") governs use of J3C Books Sync (the "Software"), a private internal integration made available by J3C Consulting LLC, a Washington limited liability company ("J3C", "we", "us"). By installing, configuring, or using the Software, you ("you" or "User") agree to be bound by this Agreement. If you do not agree, do not use the Software.
The Software is a private, internal-use tool. It is not sold, licensed, distributed, or otherwise made available to the public, and it is not listed on the QuickBooks App Store. It is authorized to connect to a single QuickBooks Online company file owned and controlled by J3C. Use is restricted to J3C and its authorized personnel and contractors acting on J3C's behalf.
Subject to your continued compliance with this Agreement, J3C grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for J3C's internal accounting, bookkeeping, financial reporting, and tax preparation purposes.

The Software requires OAuth 2.0 credentials issued by Intuit, including a client identifier, client secret, and refresh token. You are responsible for keeping these credentials confidential, storing them only on systems you control, and not committing them to source control or transmitting them over insecure channels. You must promptly revoke and rotate credentials that you believe have been exposed. Authorization may be revoked at any time from within QuickBooks Online.
The Software interoperates with QuickBooks Online, a service operated by Intuit Inc. Intuit is not a party to this Agreement. Your use of QuickBooks Online is governed by your separate agreement with Intuit, and J3C makes no representation or warranty regarding the availability, accuracy, or continuity of any Intuit service or application programming interface.
The Software incorporates the QuickBooks Online MCP Server, an open-source project published by Intuit under the Apache License, Version 2.0. That component remains subject to its own license terms, which are incorporated by reference and which control over this Agreement with respect to that component.
The Software is designed to be operated through an AI assistant using the Model Context Protocol. When operated in that manner, accounting data is transmitted to the assistant's provider for processing, and your use of that assistant is governed by your separate agreement with its provider. J3C makes no representation or warranty regarding any such provider or the accuracy of any output it generates. See the Privacy Policy for detail on this data flow.
All accounting records, financial data, and other content accessed through the Software remain the property of J3C. The Software does not transfer ownership of any data. J3C retains all right, title, and interest in and to the Software, excluding third-party components licensed as described above.
The Software and any reports, summaries, categorizations, or calculations it produces are provided for informational and operational convenience only. They do not constitute accounting, tax, legal, or investment advice, and they are not a substitute for review by a licensed certified public accountant, enrolled agent, attorney, or other qualified professional. You are solely responsible for the accuracy and completeness of any financial statement or tax filing prepared with the assistance of the Software.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. J3C DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA IT PRODUCES WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, J3C SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. J3C'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This Agreement takes effect when you first use the Software and continues until terminated. J3C may terminate or suspend this Agreement and revoke the license at any time, with or without cause. Upon termination you must cease all use of the Software, revoke its authorization within QuickBooks Online, and delete all copies of the Software and any stored credentials in your possession. Sections 6 through 9 survive termination.
J3C may revise this Agreement from time to time. The revised version takes effect when posted at this address, and the "Last updated" date above will be changed accordingly. Continued use of the Software after a revision constitutes acceptance of the revised Agreement.
This Agreement is governed by the laws of the State of Washington, without regard to its conflict of law provisions. The exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in Washington.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and J3C regarding the Software and supersedes all prior understandings. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
